UtilSync provides IoT monitoring solutions including:

• Real-time monitoring of energy, water, temperature, humidity, and generator systems
• Data collection, storage, and visualization
• Alert and notification services
• Analytics and reporting tools
• API access for integrations

3. Account Registration

To use certain features of our Services, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized access
• Accept responsibility for all activities under your account

4. Acceptable Use

You agree not to:

• Attempt to gain unauthorized access to our systems

• Fees are as specified in your service agreement or order

All rights, title, and interest in the Services, including software, designs, and documentation, remain with UtilSync. You are granted a limited, non-exclusive license to use the Services as permitted by these Terms.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UTILSYNC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

11. Indemnification

You agree to indemnify and hold harmless UtilSync and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Services or violation of these Terms.

12. Termination

Either party may terminate these Terms:

• With 30 days written notice for convenience
• Immediately for material breach
• Immediately if the other party becomes insolvent

Upon termination, your access to the Services will cease, and we may delete your data after a reasonable retention period.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of South Africa, without regard to conflict of law principles.

14. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or through the Services. Continued use after changes constitutes acceptance of the modified Terms.
